License Agreement

1. Definitions

• "Product" — Any SharePoint web part, extension, Adaptive Card, or digital software sold by Avantit through our store or Microsoft Marketplace.

• "Licence" — The right granted to you to install and use the Product as described in this agreement.

• "Tenant" — A single Microsoft 365 organisation instance identified by a unique tenant ID.

• "You" / "Licensee" — The individual or organisation that purchased the Product.

• "Avantit" — The company that owns and distributes the Product.

2. Licence Types

Avantit offers the following licence types for its products:

Single Tenant Licence

Grants the right to install and use the Product within one (1) Microsoft 365 tenant. This is the default licence type for one-time purchases made through our store.

• Unlimited users within the licensed tenant.

• Perpetual — no expiry date.

• Includes 12 months of free updates and 30 days of support.

Microsoft Marketplace Subscription

Monthly or annual subscription purchased through Microsoft AppSource. The licence remains active for the duration of the subscription period.

• Billed monthly or annually via Microsoft.

• Automatically renews unless cancelled.

• Includes all updates and support for the subscription period.

Multi-Tenant Licence

For organisations managing multiple Microsoft 365 tenants, such as Microsoft partners or managed service providers. Contact us for pricing.

• Covers an agreed number of tenants.

• Volume discounts available.

• Custom support SLA available.

Developer / Trial Licence

A limited-time, free licence for evaluation and development purposes only. May not be used in production environments.

• Valid for 30 days from activation.

• Non-commercial use only.

• All features available for evaluation.

3. Licence Grant

Subject to the terms of this agreement and payment of the applicable licence fee, Avantit grants you a:

• Non-exclusive — Other customers may use the same product.

• Non-transferable — The licence may not be transferred to another organisation without written consent.

• Limited — Restricted to the scope defined by the licence type purchased.

• Revocable — Avantit may revoke the licence in case of breach of this agreement.

right to install and use the Product within your licensed Microsoft 365 tenant(s).

4. Permitted Uses

Under this licence, you are permitted to:

• Install the Product in your licensed Microsoft 365 tenant(s).

• Allow any number of users within your organisation to use the Product.

• Make a reasonable number of backup copies for archival purposes.

• Use the Product for your internal business purposes.

• Configure and customise the Product using provided settings and APIs.

5. Restrictions

You may not under any circumstances:

• Sublicense, sell, resell, or rent the Product to third parties.

• Reverse engineer, decompile, disassemble, or attempt to derive the source code.

• Modify, adapt, translate, or create derivative works based on the Product.

• Remove or alter any proprietary notices, watermarks, or licence indicators.

• Use the Product in more tenants than licensed.

• Use the Product to develop a competing product or service.

• Transfer the licence to a third party without prior written consent from Avantit.

• Use the Product in ways that violate applicable laws or regulations.

6. Licence Activation and Validation

Some products may require licence activation or periodic validation:

• Licence keys are provided upon purchase and tied to your tenant ID.

• You must not share, publish, or distribute your licence key.

• If a licence key is compromised, contact us immediately at store@@avantit.com.

• Avantit reserves the right to verify licence compliance at any time.

7. Updates and Upgrades

Minor Updates

Bug fixes and minor improvements (e.g. version 1.0 → 1.1) are provided free of charge for 12 months from the date of purchase for one-time licence holders. Subscription holders receive all updates during their active subscription.

Major Upgrades

Major version upgrades (e.g. version 1.x → 2.0) may require a separate upgrade purchase at a discounted rate for existing licence holders.

End of Life

When a product reaches end of life, Avantit will provide at least 6 months notice and will continue to provide security patches for a further 12 months after the end-of-life announcement.

8. Third-Party Components

Our products may include third-party open-source components. These components are subject to their own licence terms. A complete list of third-party components and their licences is included in the product documentation.

The use of third-party components does not affect the terms of this EULA for our proprietary code.

Common Third-Party Licences Used:

• MIT Licence — Permissive, allows commercial use.

• Apache 2.0 — Permissive, includes patent protection.

• ISC Licence — Simple permissive licence.

9. Intellectual Property

The Product and all copies thereof are proprietary to Avantit and title thereto remains in Avantit. All rights in the Product not specifically granted in this agreement are reserved to Avantit.

You acknowledge that no title to the intellectual property in the Product is transferred to you. You further acknowledge that title and full ownership rights to the Product will remain the exclusive property of Avantit.

10. Termination

This licence is effective until terminated. Your rights under this licence will terminate automatically without notice from Avantit if you fail to comply with any terms of this agreement.

Upon termination of this licence:

• You must immediately cease all use of the Product.

• You must uninstall and destroy all copies of the Product in your possession.

• Any provisions of this agreement that by their nature should survive termination will survive.

Avantit reserves the right to terminate any licence found to be in breach of this agreement without refund.

11. Compliance and Audit

Avantit reserves the right to audit your use of the Product to ensure compliance with this licence agreement. You agree to:

• Maintain accurate records of the number of tenants using the Product.

• Provide reasonable access to such records upon request.

• Cooperate with any audit conducted by Avantit or its authorised representative.

If an audit reveals under-licensing, you agree to purchase the appropriate licences and reimburse Avantit for the cost of the audit.

12. Governing Law

This licence agreement is governed by the laws of Portugal and the European Union. Any disputes shall be resolved in the courts of Portugal.

For EU consumers, alternative dispute resolution is available through the EU Online Dispute Resolution platform.
